Welcome to OpenStars. By accessing or using our platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

These Terms constitute a legally binding agreement between you and OpenStars INC ("OpenStars," "we," "us," or "our"). Please read them carefully.

2. Eligibility

To use OpenStars, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• Provide accurate and complete registration information

By using our Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any information that changes
• Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorized access or security breach at founders@openstars.ai.

4. Services Description

OpenStars provides an AI-powered platform that connects founders with:

• Investors: Matching with venture capitalists, angel investors, and other funding sources
• Talent: Access to vetted candidates for hiring
• Advisors: Connection with industry experts and mentors
• Community: Networking with other founders

We facilitate introductions and provide tools, but we do not guarantee funding outcomes, successful hires, or any specific results.

5. Subscription Plans and Payments

5.1 Plans

We offer various subscription tiers (Free, Starter, Pro, Enterprise) with different features and pricing. Current pricing is available on our website.

5.2 Payment Terms

• Paid subscriptions are billed in advance on a monthly or annual basis
• All payments are processed securely through Stripe
• Prices are in USD and exclude applicable taxes
• You authorize us to charge your payment method for recurring fees

5.3 Refunds

Subscription fees are generally non-refundable. However, you may request a refund within 14 days of initial purchase if you haven't used any paid features. Contact founders@openstars.ai for refund requests.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

6. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Spam, harass, or send unsolicited communications
• Impersonate any person or entity
• Provide false or misleading information
• Attempt to gain unauthorized access to our systems
• Use automated bots or scrapers without permission
• Interfere with the proper functioning of the Services
• Use the platform for illegal fundraising or securities violations

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of content you submit (pitch decks, company information, etc.). By submitting content, you grant us a non-exclusive, worldwide license to use, display, and process it for providing the Services.

7.2 Our Content

OpenStars owns all rights to the platform, including our software, design, logos, and proprietary data. You may not copy, modify, or distribute our content without permission.

7.3 Investor Database

Our investor database is proprietary. You may not scrape, download in bulk, or redistribute investor information obtained through our platform.

8. Privacy

Your use of our Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability and fitness for a particular purpose
• Accuracy or completeness of investor information
• Uninterrupted or error-free service
• Results from investor introductions or matches

We do not guarantee that you will receive funding, hire successfully, or achieve any particular outcome.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENSTARS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from failed fundraising or investments

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless OpenStars, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your content or materials
• Your violation of any third-party rights
• Your fraudulent or illegal activities

12. Termination

We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion. Upon termination:

• Your access to the Services will cease
• We may delete your account data after 30 days
• Provisions that should survive (indemnification, limitation of liability) will remain in effect

13. Dispute Resolution

13.1 Arbitration

Any disputes shall be resolved through binding arbitration administered by JAMS in San Francisco, California. You waive your right to a jury trial and class action participation.

13.2 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or unauthorized access.

14. General Provisions

• Governing Law: These Terms are governed by California law
• Entire Agreement: These Terms constitute the complete agreement between us
• Severability: If any provision is unenforceable, others remain in effect
• Waiver: Failure to enforce a right does not waive future enforcement
• Assignment: You may not assign these Terms without our consent

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or platform notification. Continued use after changes constitutes acceptance.
